These Terms of Service ("Terms") govern your access to and use of GoKiet, a compliance, risk, and marketing intelligence toolkit ("Service") provided by Kiet Business Attorneys ("Kiet," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility and Account Registration
You must be at least 18 years old and have authority to bind the entity you represent to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2. Description of Service
GoKiet provides regulatory intelligence, legal and document management, compliance tracking, marketing audits, competitive intelligence, and risk management tools for startups, mid-size enterprises, and regulated industries. The Service is a business support tool and does not constitute legal advice; use of the Service does not create an attorney-client relationship with Kiet.
3. Subscription, Fees, and Payment
Certain features require a paid subscription. Fees, billing cycles, and plan details are set out at checkout or in your order form.
- Fees are non-refundable except as required by law or expressly stated otherwise.
- We may change pricing with advance notice; continued use after the effective date constitutes acceptance.
- Failure to pay may result in suspension or termination of your account.
4. Customer Content and Data
- You retain ownership of all data, documents, and content you upload to the Service ("Customer Content").
- You grant us a limited license to host, process, and display Customer Content solely to provide and improve the Service.
- You represent that you have all necessary rights to upload Customer Content and that doing so does not violate any law or third-party right.
5. Acceptable Use
You agree not to:
- Use the Service for unlawful purposes or to violate any applicable regulation
- Reverse engineer, decompile, or attempt to extract source code
- Upload malicious code or attempt to disrupt the Service
- Misrepresent your identity or affiliation
- Use the Service to build a competing product
6. Intellectual Property
The Service, including all software, design, trademarks, and underlying technology, is owned by Kiet or its licensors. These Terms do not grant you any rights to our intellectual property except as necessary to use the Service as intended.
7. Third-Party Integrations
The Service may integrate with third-party regulatory databases, tools, or services. We are not responsible for the availability, accuracy, or practices of third-party services.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT COMPLIANCE OR RISK OUTPUTS GENERATED BY THE SERVICE ARE COMPLETE, ACCURATE, OR SUFFICIENT FOR REGULATORY COMPLIANCE, AND SUCH OUTPUTS DO NOT SUBSTITUTE FOR INDEPENDENT LEGAL ADVICE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold Kiet harmless from claims arising out of your breach of these Terms, misuse of the Service, or violation of applicable law.
11. Term and Termination
We may suspend or terminate your access for breach of these Terms, non-payment, or as needed to protect the Service. You may terminate by canceling your subscription. Upon termination, your right to access the Service ends, subject to any data export period specified in your plan.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall first be addressed through good-faith negotiation, and if unresolved, submitted to arbitration in Lagos, Nigeria, or the courts of competent jurisdiction in Lagos, as specified in your order form.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via the Service or email, and continued use constitutes acceptance.
